That's much too broad of a question to answer here. But in general, foreign ownership of businesses is allowed as long as the law is followed. Your buddy can start the business and split profits with you. That is not a problem. There are several business entitites...corp, sole proprietorship, not for profit corp etc. that the company can be. But that's for the accountant and lawyer to determine because each has it's own characteristics. You guys need to figure out which is best for your business.
NOW, the sticky part is this. Are you asking if ownership of an Amercian based business defeats the requirement that you comply with immigration laws? No, it does not. If you want to come here and work in your business, you will probably have to apply for a work Visa and follow whatever procedures are in place. Now I suspect...but do not know...that owning a business here and applying for a Visa is different than applying for one exclusively as a worker bee. It seems to me that capitalizing a legitimate business is something the US would consider to be a positive thing.
