Just a point, so far I know the law in USA allows two citizenships, but the german law does not. The german law allows that only in a couple and very exceptional cases, but normally if you take an other citizenship you lose the german one. It is exactly the same for inmigrants, if you want to take the german citizenship you have to resign the old one first, just in exceptional cases this will not be a requirement.
In your case, you have to fullfill certain requirements, you do not get the german citizenship automatically when you marry.Besides given up your american citizenship, you have to live in Germany at least 3 years, you have to be able to speak the german language (al least enough for the dayly life) etc.
I would recomend that your girlfriend ask by the german consulate first before she faces an unwanted surprise. You also can get some info if you look the web of the Auswärtiges Amt:
