Answer:
If she overstay her visa then she is no longer legal! You can marry her and then petition for her. If you have proof that she enter the U.S. legally, she does not have to leave the U.S. You need to have her Mexican Passport/U.S. Visa/I-94. Follow this link for more info:

To marry her I think will. But correct me if I'm wrong.
Just make sure you love her - she might be marrying you just to be a permanent resident. I'm not being mean, I just want to make sure she's marrying you (and you her) for the right reasons.
If she overstayed her visa she is no longer considered "legal." My husband did the same thing. He went back to Mexico & we filed for a fiance visa to do things the "right" way...by the book. Well, thousands of dollars later we had an approval but they turned him down at the consulate because he had over-stayed his previous visa.information they knew prior to their "approval." He had to come back with a coyote & we married. At that time there was a provision in place where he could pay a fine (more money to the government) & then we waited for over 2 years for them to finally give him his green card. It's all a power trip with our government. A God complex. They use hopeful immigrants as a means to supplement our government funds & then delight in turning them down regardless of whether or not they have been paying taxes for years & years into our government as my fiance had done. I don't know if the provision is still in place to allow for your fiance to pay the fine & be ok staying here. Best to contact an immigration attorney or we also found help through Catholic services. They have a special division for that. God bless!
If she overstayed, her status sadly is no longer, "legal".
You need to contact the USCIS to initiate procedures to
effect a legal status. Be aware she may be required to leave and apply from Mexico, or wait there while you apply.
The marriage itself is not complicated. Apply for a license.
Get a minister or judge to perform the ceremony.
Marry her in Mexico, then apply for a spousal visa.
